Promotion & Event Collaboration Terms

Food supplied in exchange for agreed promotion, event exposure, or content

Free or discounted catering offered in return for promotion is conditional on the agreed promotion being delivered. These terms explain acceptance, qualifying food content, our assessment, and payment if the commitment is not fulfilled. They apply to accepted promotional collaborations with CANAPES PREMIUM FOOD RESTAURANT L.L.C across all ordering channels.

1. Who and what these terms cover

“Canapes”, “we”, and “us” mean CANAPES PREMIUM FOOD RESTAURANT L.L.C, Dubai Commercial Licence No. 1628259. “Partner” means the individual or legal entity identified as the contracting customer in the accepted Promotion Confirmation. Collaborations include influencer and creator events, social gatherings, yoga, wellness and fitness events, launches, community events, corporate events, venue partnerships, and any other supply of food, delivery, staff, or services in exchange for agreed promotion.

The same requirements apply whether an arrangement starts on our website, an online platform, a telephone call, WhatsApp, Instagram or another social-media message, email, in person, through an agent, or through any other channel. An ordinary paid order, an unsolicited tag, or an unconditional gift does not become a promotional collaboration merely because of these terms. The separate Loyal Customer Thank-You Box gift does not require promotion.

2. Agreement before supply; every ordering channel

By placing or confirming a promotional order through our website, an online platform, WhatsApp, Instagram, email, telephone, in person, through an agent, or any other channel, the Partner accepts these terms and the applicable order terms where these terms, the applicable menu prices, the conditional payment obligation, and the agreed promotional commitments were provided or made accessible before the Partner places or confirms that order. A separate signed form or separate acceptance of a document titled “Promotion Confirmation” is not required where acceptance after that prior notice is clearly evidenced by an affirmative website order, an electronic reply, or other clear affirmative conduct confirming the promotional order. Any written advertising agreement required by section 11 or applicable law remains necessary.

Before supply, we document the accepted order in a written order record called the “Promotion Confirmation”, which may consist of the order confirmation and the related electronic messages. It records the contracting parties, order and event, food and services, quantities, the cash price in AED based on our applicable published menu prices at the time the order was placed or confirmed, VAT treatment and delivery charges disclosed before acceptance, any cash payment, the conditional promotion credit, each agreed promotional deliverable and its allocated credit, and the relevant deadlines. A price variation or a service without a published menu price must be quoted and accepted in writing before the order is confirmed. We keep the applicable menu-price record; later menu changes do not change the accepted order price. The order record documents the agreement and cannot add undisclosed prices, deliverables, or obligations after acceptance.

A telephone or in-person discussion must be followed by that written confirmation and acceptance before supply. Silence, visiting our website, a footer link alone, or receipt of food without prior acceptance does not establish agreement to a new payment obligation under these terms. We retain the order record, the terms and menu-price versions made available, messages, and the evidence and date of acceptance. These terms apply prospectively and do not add charges to an earlier arrangement that did not include them.

3. Contracting party and event responsibility

The Partner must provide an accurate legal name, billing address, email, telephone number, and, for a business, its company and licence details. A person accepting for an entity must have authority to bind it and identify that entity. If an event organiser accepts a commitment that invited guests, attendees, participants, influencers, an agency, a venue, or other contributors will promote Canapes, securing and delivering that agreed promotion is the organiser’s own contractual obligation. The organiser must arrange the necessary commitments from those contributors before accepting that obligation and remains responsible unless Canapes expressly agrees a different allocation in writing.

This includes an event at which Canapes supplies food, staff, branding, a tasting, or another brand-promotion presence in return for the organiser’s promise that invited people will publish agreed content. Inviting those people, allowing Canapes to attend or display its brand, asking guests to post, or explaining that the guests are independent does not replace the promised publications. If invited people do not post, post fewer agreed items, or only tag Canapes without the required food images or videos, the organiser has a promotional shortfall to that extent. After the assessment, notice and remedy process, Canapes will invoice the contracting organiser for the agreed cash price of food and services actually supplied, less cash already paid and promotion credit earned. For example, if the organiser promises ten qualifying guest posts with equal allocated credits and only three are delivered, the credit for the seven missing posts is unearned, subject to that process. The required contributors or number of posts and their credit allocation must be recorded in the accepted Promotion Confirmation; attendance alone never creates an obligation for a guest.

The named contracting individual or entity is responsible for any invoice arising under the accepted arrangement. A staff member, guest, influencer, director, or agent is not personally liable for another entity’s debt solely because they attended, communicated, or placed an order on its behalf. Any personal guarantee requires a separate, express and legally valid agreement.

4. Agree the promotion in measurable terms

The Promotion Confirmation must specify the platform and publishing account, number and type of posts, reels, stories, videos or other agreed placements, the actual food to be shown, the correct Canapes account tag or link, publication deadline, required visibility period, and how proof will be supplied. Event signage, menus, announcements, guest introductions, attendance, exclusivity, reuse rights, reach or other commitments count only where expressly agreed. All deadlines use Asia/Dubai time unless the confirmation states otherwise.

All agreed promotional publications must be completed no later than 72 hours (three calendar days) after actual delivery of the relevant food or, where the promotion relates to a supplied service, completion of that service. An expressly agreed earlier publication deadline takes priority. Each separate delivery or service has its own deadline unless the accepted Promotion Confirmation expressly structures the deliveries or services as a series and identifies their applicable publication schedule. Any extension of an applicable deadline requires both parties’ written agreement; a request for more time, silence, or a later event date is not an extension.

The written Promotion Confirmation must record the relevant supply time and each publication deadline as an exact date and time, using Asia/Dubai time unless expressly agreed otherwise. If actual delivery or service completion differs from the expected time, calculate the 72-hour deadline from the actual relevant supply and record the resulting exact deadline in a written update, subject to any expressly agreed earlier deadline or written extension. The agreed content-visibility period may continue after the publication deadline, and the separate time allowed to submit evidence does not extend the time for publication. A missed deadline is assessed under sections 6 and 7, including the five-business-day notice and remedy process, before any recovery invoice under section 8.

Do not assume that providing food means Canapes has agreed to accept any mention or unspecified “exposure”. Changes, replacements, extensions, and a reduction of the agreed deliverables require both parties’ written agreement. We cannot introduce new criteria, demand additional posts, or require a guaranteed positive review after acceptance. Honest opinions and legally required advertising disclosures must remain truthful.

5. Food must be visibly promoted; a tag alone is insufficient

Where a food post, story, reel, photograph, or video is promised, it must clearly show the actual Canapes food supplied for the collaboration in a reasonably identifiable way, with the agreed account tag or link and the agreed placement and format. A tag or account mention with no food image or video, text-only thanks, an empty plate or box, an unrelated image, an event or yoga photograph that does not show the food, a hidden or unreadable tag, a private message, or a post on an unapproved account does not fulfil that food-content deliverable.

A logo-only placement, verbal mention, reshare, guest tag, or event attendance is not a substitute for promised original food content unless the Promotion Confirmation expressly accepts it as that deliverable. Content must be published to the agreed audience and remain accessible for the agreed period; an agreed story must remain live for its full agreed lifespan. Deleting, hiding, archiving, or restricting content early is a shortfall unless a lawful removal or an agreed replacement applies. Evidence captured before a story expires can prove compliant publication.

6. Evidence and Canapes’ assessment

The Partner must send publication links and dated screenshots or recordings showing the food content, publishing account, tags, publication time and, where agreed, visibility duration and genuine platform statistics. Supply this evidence within two calendar days of publication or within the period in the Promotion Confirmation; capture expiring stories before they disappear. We assess whether the promises were fulfilled reasonably, in good faith, and against the accepted confirmation and these terms, taking account of all evidence supplied.

Our assessment is not an unrestricted or final power to decide a legal dispute. If we identify missing, late, removed, inaccessible, or otherwise non-compliant promotion, we explain the specific shortfall in writing and invite the Partner to provide evidence or a remedy. We do not reject a deliverable simply because we dislike an honest opinion or because an unpromised sales, engagement, or attendance result was not achieved.

7. Notice and opportunity to put matters right

Before withdrawing a disputed promotion credit, we give written notice to the agreed contact explaining the shortfall, the proposed credit adjustment, the calculation, and supporting details. The Partner has five UAE business days after receiving the notice to submit proof, correct a remediable failure, or agree a suitable replacement in writing. For these terms a business day is Monday to Friday excluding UAE public holidays. A missed time-specific event placement may be impossible to recreate; any alternative promotion must be agreed by both parties.

If timely evidence establishes fulfilment or an agreed remedy is completed, the corresponding credit remains available. We consider partial performance and reasonable evidence of an outage, cancellation, safety issue, or other event outside a party’s reasonable control, and seek an appropriate extension, alternative or lawful adjustment. This process does not replace any statutory notice, right, or procedure required by UAE law.

8. Conditional credit and invoice for unfulfilled promotion

The cash price is based on the applicable published menu prices at the time the order was placed or confirmed and the quantities accepted under section 2, together with any price variation or separately quoted services accepted in writing before confirmation; it is recorded before supply. The promotion credit is earned by completing the corresponding agreed deliverables. If a shortfall remains after the notice and remedy process, Canapes will issue an itemised invoice for that accepted cash price of food and services actually supplied, less cash already paid and promotion credit earned. If all promotion fails, the unearned credit may be withdrawn in full. For partial performance, only the credit allocated to unfulfilled deliverables is withdrawn; if no allocation was recorded, the adjustment must reasonably reflect the unfulfilled part and any dispute remains subject to lawful resolution.

The amount is recovery of the agreed supply price, not a punitive fine or an unlimited damages charge. We do not replace the accepted price with a later menu price, add an undisclosed fee, bill for unsupplied services, or recover twice for the same loss. Applicable VAT, barter treatment, and any tax invoice or credit note are handled as required by UAE law; an invoice may be required at supply even while the conditional credit is being assessed. Invoices identify the contracting customer, order, supplied items, price, earned credit, payments, tax where applicable, and outstanding balance, with Arabic information where legally required.

9. Payment deadline and invoice disputes

Unless a different due date was expressly accepted in the Promotion Confirmation, an outstanding balance arising from unearned promotion credit is payable in AED within five calendar days after receipt of the recovery invoice issued following the notice and remedy process in sections 7 and 8. Issuing a tax invoice at supply does not itself withdraw conditional credit or make that conditional amount payable before this process is completed. Any separately agreed upfront cash payment keeps its accepted due date. We send invoices to the billing email or another written billing channel agreed in the confirmation. Please raise a genuine billing or performance dispute promptly, preferably within five calendar days, identifying the disputed items and any evidence, and pay the undisputed amount by its due date. Missing that preferred dispute period does not remove a mandatory right or make an incorrect invoice conclusive.

We review a genuine dispute in good faith and correct an invoice where appropriate. The Partner may contact info@canapes.ae or +971 55 331 0123 with the order reference. An invoice or reminder does not itself create a payment obligation; an obligation must have been agreed or otherwise arise under applicable law. Invoice delivery does not itself prove acceptance or non-performance.

10. Overdue invoices and lawful recovery

Payment of an agreed, valid and due debt is a contractual obligation. Failure to pay without lawful justification is a breach and may lead to a formal demand, suspension of future discretionary collaborations, civil debt-recovery proceedings, and enforcement of a judgment or payment order through the competent UAE courts. Interest, compensation, court fees, or recovery costs may be claimed only to the extent lawfully agreed and recoverable under applicable law or awarded by the competent court; no automatic criminal penalty or arbitrary collection charge is imposed by these terms.

An unpaid invoice or a failure to post does not, by itself, establish a criminal offence in the UAE. If there is credible evidence of separate conduct satisfying the legal elements of fraud or another offence, such as deliberate deception to obtain food or services, Canapes may refer that evidence to the competent authorities. Only those authorities and the courts determine any criminal responsibility. We will not represent an ordinary payment dispute as a proven crime or use public shaming to collect a debt.

11. Advertising rules, permissions, and content rights

Both parties must comply with applicable UAE media, advertising, consumer-protection and platform rules. The Partner must hold any required advertiser or other permit before publishing and clearly disclose the free food, discount, sponsorship, or other commercial connection as required. Where the Partner engages influencers or other advertisers, the responsible advertising requester must secure the required written agreements with each advertiser, verify required permits, and provide reasonable compliance evidence on request. Canapes will perform the verification and written-agreement duties that apply to it as an advertising requester. No one must publish misleading claims, conceal a required disclosure, fabricate statistics, or obtain unlawful images of guests, children, music, or third-party material.

The Partner must obtain permissions needed to create and publish the agreed content. A public tag does not by itself give Canapes permission to repost content or use a person’s likeness. Any Canapes reuse, paid advertising, editing, licence duration, or other content rights must be separately and expressly agreed. If lawful publication becomes impossible, notify us promptly so an alternative, extension, or appropriate price adjustment can be agreed; unlawful content is never required as a remedy.

12. Event changes, food safety, and our own performance

Tell us promptly if an event is cancelled, rescheduled, or changes its venue, contributors, or publication plan. Cancellation charges, if any, follow the accepted quotation and the general Terms & Conditions, subject to mandatory law and evidenced commitments; cancellation does not automatically entitle us to charge the full price of unsupplied food. If food has already been supplied, both parties must address the remaining promotion or price under the agreed terms and applicable law.

The general Terms & Conditions continue to cover allergies, pork and non-Halal information, handling, delivery, cancellation, refunds, and food safety. We remain responsible for our own supply obligations. The Partner retains all mandatory remedies for non-delivery, unsafe food, or another breach by Canapes, and no promotion credit is forfeited to the extent non-performance results from our own breach.

13. UAE law, records, language, and contact

These terms, the accepted Promotion Confirmation, and the general Terms & Conditions form the collaboration agreement. A specific variation expressly accepted by both parties in the confirmation takes priority over these promotion terms for that point; these promotion terms otherwise govern promotion matters. UAE federal law and applicable Dubai law govern. Courts with competent jurisdiction in Dubai may hear disputes, without restricting mandatory consumer complaint channels, statutory remedies, or the court’s power to review liability or compensation. A provision that cannot lawfully be enforced is limited or severed only to the extent necessary.

This revision, version 2026-10-01.4 dated October 1, 2026, including its acceptance, menu-price, 72-hour publication and five-calendar-day payment rules, applies only to promotional orders accepted under section 2 after this version was provided or made accessible before confirmation. It does not retrospectively change a previous arrangement, its price or its agreed deadlines; applying it to an existing collaboration requires both parties’ fresh express agreement. The Arabic version governs in case of a conflict with a translation. We retain relevant confirmation, acceptance, performance and billing records in accordance with our Privacy Policy and applicable law.
